Service Fees

 

1.1 Revenue Split

The Client agrees to a revenue split for voting revenue as follows: Imperial Vote shall receive 30% of the total voting revenue, and the Client shall receive 70% of the total voting revenue.

1.2 No Monthly Rental or Setup Fees
The Client will incur no monthly rental fees or setup fees for utilizing the service.

Settlement Terms

​

2.1 Monthly Settlement
Imperial Vote shall settle the voting revenue with the Client at the end of each month. If the Client requests a different settlement schedule, the Client acknowledges that such a request may incur additional transaction fees. These fees will be deducted from the total amount, in addition to Imperial Vote’s revenue share and any applicable transaction or clearance fees.

2.1.1 Additional Monthly Payouts
If the Client requests additional monthly payouts, a 10% charge of the amount to be cleared will apply.

2.2 Settlement Method
The Client agrees that payments will be made in a single lump sum to minimize transaction fees, unless the Client requests a different payment method or frequency.

2.3 Bank Processing Time
The Client acknowledges that depending on their nominated bank, the transfer of funds may take up to 2 to 3 business days to process and reflect in their account.

Service Provider Appointment

Imperial Vote, represented by JPR Global LLC, reserves full rights to this agreement, including the usage thereof, in whole or in part, including any associated intellectual property.

Chargebacks and Surety

3.1 Chargeback Acknowledgment
The Client acknowledges that voting transactions are subject to potential chargebacks by voters up to 120 days after votes are cast.

3.2 Chargeback Responsibility
The Client agrees to assume responsibility for all chargeback amounts and any associated fees incurred due to chargebacks.

3.3 Imperial Vote's Entitlement
In the event of a chargeback, Imperial Vote shall be entitled to recover the chargeback amount, along with a chargeback fee of 15% of the chargeback amount.

3.4 Retention of Surety
Due to the risk of chargebacks, Imperial Vote shall retain 10% of the total voting revenue on a monthly basis for a period of 120 days. After the expiration of the 120-day period, the retained surety will be released to the Client in a single lump sum payment.

3.5 Request for Multiple Surety Payments
Should the Client request multiple monthly payments of the retained surety, a surcharge of 10% will be applied to each payment released.

Client Responsibilities and Additional Terms

​

4.1 Promotion of Voting
The Client agrees to promote the voting leaderboard by sharing the link on official social media platforms and encouraging participants to share their individual voting links frequently across their own social media platforms.

​

4.2 Provision of Participant Information
The Client shall provide Imperial Vote with the necessary images of each participant in the competition. Each image file must be named according to the contestant’s name.

4.3 Participant List
The Client shall provide Imperial Vote with a list of the names of all participants in the competition to facilitate accurate voting and recordkeeping.

Transmission of Information
Any claim, loss, or damage arising from the transmission, handling, or use of images, personal information, or other sensitive data provided by the Campaign Organizer, their customers, or third parties participating in the Campaign shall be the responsibility of the Campaign Organizer.

Authorization and Consent
The Campaign Organizer warrants that all necessary and lawful consent, authorizations, and permissions have been obtained from individuals whose images, personal information, or data are used in connection with the Campaign. This includes consent for the collection, processing, and transmission of such information in compliance with applicable privacy laws and data protection regulations.

Responsibility for Sensitive Information
The Campaign Organizer acknowledges and agrees that it is solely responsible for ensuring that all sensitive information and images collected and used in connection with the Campaign comply with applicable legal requirements, including obtaining consent from individuals and adhering to privacy laws.

​

Exclusion of Liability
The Service Provider shall not be liable for any claim, loss, or damage arising from the Campaign Organizer’s failure to obtain proper authorization or comply with legal requirements regarding the transmission or use of sensitive information and images.

This indemnity shall survive the termination or expiration of this Agreement.
